Senior Corporate Counsel

Job Location: New York, NY

We currently have an opening for a Senior Corporate Counsel reporting to the SVP, General Counsel.  In this role you will negotiate transactions, draft a broad variety of contracts, act as an adviser to our business units on various legal topics, handle intellectual property and other legal matters, and be involved in the ongoing improvement of legal policies, templates and processes. The ideal candidate will have the ability to balance multiple tasks and priorities, work independently but collaboratively, and will enjoy teamwork in a fast-paced, collaborative environment. Job Responsibilities:

  • Respond promptly to legal requests from sales, marketing, engineering, services and other business clients
  • Manage day-to-day contracts and contracts process as well as large scale contracts
  • Advise business personnel on legal issues deal structures, approval processes, company policies and procedures, intellectual property and negotiation strategy
  • Review, draft and negotiate various commercial agreements, sales contracts, licenses/intellectual property agreements and other business arrangements including high profile customer and partnering contracts
  • Handle RFP requests and security assessment requests from customers
  • Assist in development of privacy and security policies in compliance with applicable regulations
  • Interact directly with customers and business personnel at all levels of the company to complete projects, manage customer contracts and other requests to completion
  • Support the continuous improvement of standard form agreements, contracts processes and policies
  • Assist in management of intellectual property portfolio
  • Assist in training of junior staff members
  • Special projects as requested

Job Requirements

  • JD from top law school and excellent academic credentials
  • NY bar member (or qualified to register as in house counsel)
  • Minimum of six years transactional experience in an in-house legal department or top law firm
  • Significant experience with technology and intellectual property-related transactions required
  • Significant experience structuring and negotiating complex commercial transactions
  • Able to manage complex issues and projects across departments
  • Able to evaluate issues from legal and business perspectives
  • Able to manage multiple projects simultaneously and under deadline pressure
  • Excellent interpersonal skills, team-oriented, able to interact successfully with executives and customers
  • Excellent drafting skills
  • In-house experience preferred
